Minerva Launches Private Placement

Vancouver, British Columbia  (August 18, 2021) – Minerva Intelligence Inc. (TSXV: MVAI) (“Minerva” or the “Company”) announces its intention to complete a private placement to raise a minimum of $1,000,000 and up to a maximum of $3,000,000, through the sale of units at $0.15 per unit; each unit to consist of one common share and one half warrant (each full warrant exercisable at $0.25 for 24 months). 

Over the past two years Minerva has been positioning itself as a leader in the climate risk space, developing technology to assess physical risks associated with climate change and working for the Canadian government to create national datasets that are critical for understanding climate risk. “Our Climate Risk section has been working hard to deliver solutions that simply do not exist elsewhere in the market, and we are now in a position to accelerate our growth and continue to help companies and governments understand the risks they face given our changing climate,” said Scott Tillman, CEO of Minerva Intelligence. “The tools and products we have built for our Economic Geology section continue to garner the attention of mining companies globally, we are seeing incredible traction and growth in this division of our business, and will use these funds to support and continue advancing our technology to better serve both our mining and climate risk clients.”

Proceeds received from the offering will be used, as to roughly one-third each, for general working capital purposes, to fund the Company’s sales and marketing strategy, and to make key hires within the Climate Risk group. The Company is unaware of any material facts or material changes regarding Minerva and its business that have not been generally disclosed through previous press releases and financial statements. The Company may pay finders’ fees in accordance with the policies of the TSX Venture Exchange.
